Essen, June 27, 2014. Following the unconditional clearance obtained from the German antitrust authorities, the German multi-technology service provider SPIE GmbH, a fully owned company of SPIE S.A., has successfully completed the acquisition of Hanover-based Fleischhauer which specializes in information and communication technology (ICT). The total consideration on a debt free, cash free basis is EUR 20 million and the seller is the London-based investment holding company OIM plc. With this acquisition SPIE significantly strengthens its position as a premier multi-technical service provider in Germany and Central Europe.
Fleischhauer provides high-end technical services in the areas of information, security, electronic and media technology. Founded in 1888, the company has a workforce of some 400 employees in nine locations, and achieved sales of around EUR 45 million in 2013 with an associated EBIT above 6%. The technical service provider’s clients include companies such as Volkswagen AG, Deutsche Messe AG and TÜV Nord AG.
SPIE GmbH, founded after European independent leader SPIE Group’s takeover of HOCHTIEF’s Service segment, is clearly set to grow. Managing Director Markus Holzke: “With the takeover of Fleischhauer we, and our subsidiary SPIE Deutschland System Integration, are significantly expanding our know-how in the future-oriented sector of information and communication technology. We are now in a position to provide our ICT services throughout Germany. This is a further, crucial step from a provider for technical facility management to becoming a reliable partner for complex multi-technical solutions.”
SPIE GmbH will be continuing its expansion which, aside from information and communication technology, is primarily focused on technical services in the energy sector, cooling, air-conditioning, and instrumentation, control and automation technology.
